Sale of Goods T&Cs
These Sale of Goods Terms and Conditions (hereafter, “Terms and Conditions”) apply to the sale of goods by a seller (hereafter, “Seller”) to a buyer (hereafter, “Buyer”), and govern the rights and obligations of the Buyer and Seller with respect to the goods being sold.
1. Offer and Acceptance
The Seller offers to sell the goods to the Buyer, and the Buyer accepts the offer by placing an order with the Seller via phone, email, or by other means specified by the Seller. The Seller may accept or reject the order at its discretion.
2. Price and Payment
The price of the goods will be as stated by the Seller at the time of the order. Payment terms will be as agreed between the Buyer and Seller at the time of the order.
3. Delivery
Delivery of the goods will be made to the address specified by the Buyer at the time of the order, unless otherwise agreed between the Buyer and Seller. The Seller will use its best efforts to meet the delivery date specified by the Buyer but is not liable for any losses or damages arising from delay in delivery.
4. Title and Risk of Loss
Title to the goods passes to the Buyer upon full payment of the purchase price. Risk of loss or damage to the goods passes to the Buyer upon delivery, unless otherwise agreed between the Buyer and Seller.
5. Product Warranty
The Seller warrants that the goods will be free from defects in material and workmanship for a period of time specified by the Seller from the date of delivery. The Buyer’s sole remedy for breach of this warranty is limited to repair or replacement of the defective goods, at the Seller’s discretion.
6. Limitation of Liability
The Seller’s liability to the Buyer is limited to the purchase price of the goods, and the Seller is not liable for any other damages, including without limitation, incidental or consequential damages, lost profits, or damages resulting from the use or inability to use the goods.
7. Returns and Refunds
Goods may be returned to the Seller for a refund or exchange within a period specified by the Seller from the date of delivery please refer to our returns policy.
8. Force Majeure
The Seller is not liable for any delays or failure to perform its obligations under these Terms and Conditions due to causes beyond its control, including without limitation, acts of God, natural disasters, or government actions.
9. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which the Seller is located, without giving effect to any principles of conflicts of law.
10. Entire Agreement and Amendment
These Terms and Conditions constitute the entire agreement between the Buyer and Seller with respect to the sale of goods, and supersede all prior communications and agreements. These Terms and Conditions may be amended or modified only in writing signed by both the Buyer and Seller.
11. Severability
If any provision of these Terms and Conditions is found to be invalid or unenforceable, such provision shall be severed and the remaining provisions shall be enforceable.
